MEMORANDUM OF UNDERSTANDING

BETWEEN

Karnataka Agribusiness Development Corporation ("KABDC") & [Insert name of International Marketing Agency ("ABC")]

This Memorandum of Understanding (MoU) is entered into and is effective as of [insert day], [month] [date] [year], by and between The Managing Director, Karnataka Agribusiness Development Corporation, a company duly incorporated under the Indian Companies Act, 1956 having its registered office at [insert address here], Bengaluru, India on behalf of Government of Karnataka hereinafter referred as KABDC and [ABC] duly incorporated under the laws of [insert name of the country here], having its office located at [city], [State / Province], [country] KABDC and [ABC] shall be known collectively as the "Parties" and singularly as a "Party" Recitals Whereas: 1. Government of Karnataka (GoK) has embarked on increasing the yield/productivity of agriculture and allied sectors in Karnataka by adopting state of the art technologies, and modern management practices in both agribusiness units and agri-infrastructure sectors, paying due attention to protect the interests of farmers and rural communities. The objectives and strategies of GoK in realizing the vision laid in the Integrated Agribusiness Development Policy, 2011, would include sustainable agricultural activity for enhanced productivity, better realization to farming community, development of agri infrastructure, development of agro based industry across various sectors, research and skill development, branding and boosting agro exports and enabling investor friendly policies and regulatory frame-work, etc. This would call for involvement of technology providers, agri marketing companies, infrastructure developers, agro and food processing companies, equipment suppliers, education and research institutions, quality control agencies, logistics providers, financial institutions, trade development bodies and other related organizations across the world. To realize the vision laid in the Integrated Agribusiness Development Policy, 2011, and to monitor the activities, GoK has formed a Special Purpose Vehicle under the name and style Karnataka Agribusiness Development Corporation, a company duly incorporated under the laws of India. .......................................................................

GoK proposes to organize Global Agro and Food Processing Meet to showcase the opportunities and strengths of Karnataka in Agro and Food Processing including allied sectors like Horticulture, Fisheries, Dairy and Animal Husbandry, Sericulture, Apiculture, Agri Engineering, etc. Through Global Agro and Food Processing Meet, GoK proposes to attract technology driven initiatives and investments by Indian players and other international agencies (hereinafter referred to as "Prospective Investors"). GoK also proposes to make available a host of institutional/ large retail buyers and marketing support provider (collectively referred as "Product Marketing Support Providers") across segments that could be offered to the Potential Investors for helping in the marketing / purchase of the produce from agro and food related industries in the state of Karnataka GoK and KABDC have been informed by ABC that it has adequate resources on their own or in consortium with other entities to market the agri produce in the international market either by direct arrangement with leading purchasers or auction houses or through associates.

Now, therefore, the Parties enter into this Memorandum of Understanding (MoU), in order to formalize the key features of the mutually agreed upon terms & conditions for providing support & facilitation. The Parties agree as follows: 7. ABC shall market the agri produce in the international market either by direct arrangement with leading purchasers or auction houses or through their associates. The areas of interest of ABC is highlighted (which are marked with "") in the master list enclosed as Annexure to this MoU. Further, ABC confirms that the likely extent of purchase / marketing of the produce in the next five years would be ............., computed based on past consumption and price trends. GoK and KABDC shall be entitled to make public announcement(s) about its Product Marketing Support Providers understanding with ABC and shall be at liberty to provide information about ABC as a potential Product Marketing Support Provider including reference of ABC's clients, marketing capabilities and financial capabilities to the interested agencies. GoK and/or KABDC through Global Agro and Food Processing Meet may invite project / investment proposals from interested entities citing its understanding with various Product Marketing Support Providers.

10. GoK and/or KABDC shall be entitled to make available in public domain without restriction the copies of this MoU, display the logos of ABC and documents of ABC in the business .........................................................................

development material of GoK, media presentations and other forums during the course of fulfilling its objectives and in the Global Agro and Food Processing Meet. 11. ABC shall assist GoK and/or KABDC in providing brochures, catalogues, best display of its marketing capability and financial resources through multimedia, model, miniature, project case studies, etc., and shall participate in the proposed Global Agro and Food Processing Meet including establishing exhibition stall, etc., and the cost of the same shall be entirely borne by ABC. 12. The Prospective Investors are at liberty either to avail the services and resources of ABC and/or other Product Marketing Support Providers, or they can make their own arrangement for development of the project including sourcing of technology, machinery, equipment and marketing of produce, joint venture partnerships besides other project related needs. 13. KABDC shall endeavor to provide information to ABC, on a periodical basis, about the enquiries received from interested agencies in availing ABC's services and or strategic partnership support. 14. ABC shall bring to KABDC's notice any enquires for investment in Karnataka in the agri business related field and KABDC shall pursue the enquiry on merits. 15. If a Prospective Investor is keen on ABC's services and or strategic partnership, KABDC shall inform ABC accordingly. Alternatively, Prospective Investors are entitled to directly contact ABC. 16. The Prospective Investors are expected to conduct due diligence of ABC and other Product Marketing Support Providers including service & delivery standards, its ability to market the produce and their financial ability. Similarly ABC is expected to do due diligence about Prospective Investor(s). 17. Further, if Prospective Investors and ABC agree to cooperate with each other towards establishing the project in the areas highlighted (in the Annexure to this MoU) in the state of Karnataka, they may do so by entering into a separate agreement between Prospective Investor(s) and ABC. 18. Neither GoK nor KABDC shall be held responsible towards obligations and fulfillment of conditions of such separate agreement(s) entered between Prospective Investor(s) and ABC. The terms and conditions of such separate agreement(s) shall neither commit GoK nor KABDC in any manner, whatsoever in nature.

19. GoK and/or KABDC are free to enter into any number of Product Marketing Support Provider agreements / understanding on the identical / similar field or in other fields with any agency. It is clearly understood and agreed by the parties that this MoU is entered on a non exclusive basis. 20. Both parties acknowledge that this is only facilitation MoU and shall not commit GoK and /or KABDC to avail the services, expertise and resources of ABC. 21. Subsequent to the signing of this MoU, in the event of receipt of any information regarding poor performance of ABC or doubt on the capability of ABC and/or its financial standings, KABDC and /or GoK shall be entitled to remove ABC from the list of potential Product Marketing Support Providers without consent of ABC and this MoU shall be become null and void. 22. This MoU and the separate agreement(s) to be entered by the Prospective Investor(s) and ABC are governed by laws of India, Reserve Bank of India regulations and other applicable laws of GoK. 23. This MoU shall remain effective from the date of execution and shall be valid for 24 months and can be extended on mutual written consent. 24. This MoU contains the entire understanding of Parties at this time. If either Party is unwilling or unable to continue with any clause as mentioned in this MoU, that Party may do so by sending a written notice of regret to the other Party.
