Customer Notice of Branch Conversion

Dear Customer: We are pleased to inform you that, on July 26, 2010, the conversion from the systems of the former First State Bank (FSB) to Sunwest Bank's systems will be complete. At that time, you will be able to conduct transactions at any of our locations listed on our website at www.sunwestbank.com. Simultaneously, with the branch conversion, each of the former FSB deposit accounts will be converted to a similar Sunwest Bank deposit account. Please see the enclosed Account Conversion Table, Important Dates and Details, the corresponding disclosures and Schedule of Charges which are included with this mailing. Account statements for all savings and checking accounts will be produced as of the end of business on July 25, 2010. Your first Sunwest Bank statement after the conversion will be produced on the regularly scheduled statement cycle date, and may not yet fully include all fees and charges as outlined in the enclosed Schedule of Charges and disclosures. However, beginning in October all statements will include fees and charges as outlined in the applicable Schedule of Charges. All loans will be serviced at the Sunwest Bank Corporate Headquarters located in Tustin, California. Important Dates and Details Telephone Banking A new feature available to our Arizona customers will be Telephone Banking. With Telephone Banking, you can call Sunwest Bank at (800) 330-9890, 24 hours a day seven days a week, to access information on your deposit accounts. Information available through Telephone Banking includes balance inquiries, recent checks paid and recent deposits completed. This feature will be available to you beginning Monday, July 26, 2010. FSB Online Banking The former FSB online banking function will change to Sunwest Bank Online Banking with the system conversion. We look forward to making this transition as straightforward as possible. The following information will prove useful during this period of adjustment: The FSB online banking function will not be available after 6:00 pm MST July 23, 2010. After that time, you will not be able to view posted transactions and balances online. No online transactions or requests will be processed after 6:00pm MST, July 23, 2010. Normal cutoff times will apply for other online banking services such as bill payment, wire, remote deposit capture and ACH transfers. All loan access via online banking will terminate permanently at this time. Please remove all online banking payment orders which are scheduled to occur after July 25, 2010. As is typical for this service, transactions set up to process over the weekend of July 24 and 25, 2010 will be processed on July 23, 2010. All bill payments or scheduled transfers required to be made after July 25, 2010 will need to be set up in the Sunwest Bank system and removed from the FSB system. FSB online access to loan advances and information including: lending transaction history, check images, bill payees, deposit history and deposit statements will not be available after July 23, 2010. We recommend clients download, save or print this information before July 23, 2010. Your new Sunwest Bank Online Banking service offers the convenience of accessing your deposit accounts 24 hours a day, including the ability to review deposit transaction history, retrieve the previous 12 months' deposit statements, view paid check images and deposit tickets, and transfer funds between accounts.

Business Online Banking On Sunday, July 25, 2010 after 8:00am MST you will be able to log into online banking at www.sunwestbank.com, choose "Sunwest Bank Commercial" and follow the prompts. To log in, use your existing user name and the following password: sunwest3. You will be required to change your password immediately and establish security questions. Sunwest Bank will begin offering business bill payment, a new service starting July 26, 2010. currently using online bill payment, you will need to enroll for the service. If you are

Personal and Small Business Online Banking On Sunday, July 25, 2010 after 8:00am MST, you will be required to enroll in online banking at www.sunwestbank.com. Choose "Sunwest Bank Personal" or "Sunwest Bank Small Business", then click on "first time users" and follow the prompts. To enroll, use your existing account number for your Access ID, and the last four digits of your social security number for your Password. You will be required to change your password immediately and establish security questions. The password is case sensitive, must be 8 to 15 characters long, and one of the characters must be a number. If you are currently using online bill payment, you will need to enroll for that as well. Choose "Bill Payment", click on "enroll" and complete the enrollment process. You will be required to change your password immediately. Your enrollment request for bill payment will be reviewed and activated by the Bank no later than three business days after enrollment. You will receive an e-mail when your bill pay enrollment has been activated. Please do not schedule any bill payments for processing after July 25, 2010 on the FSB system. All bill payments or scheduled transfers required to be made after July 25, 2010 will need to be setup in the Sunwest Bank system and removed from the FSB system. VISA Debit / ATM Cards All active debit and ATM cards previously issued by FSB will be reissued by Sunwest Bank. The new Sunwest Bank card and personal identification number (PIN) will be mailed to you prior to July 23, 2010 in separate mailings. Please use your FSB debit card until 1:00am MST, July 23, 2010. After that time, the new Sunwest Bank card can be activated using the instructions included with your new card. Personalizing the new PIN you will receive is easy, just use the instructions provided in the Card disclosure included in this mailing. Please use the Sunwest Bank Debit or ATM Card beginning 1:00am MST July 23, 2010 and destroy the previously issued, FSB Debit or ATM Card. NOTE: During the weekend of conversion (July 23, 2010 ­ July 25, 2010) lower point of sale and ATM limits will apply for ATM cards. The amount of point of sale transactions can be no more than $150 each day and ATM transactions can be no more than $150 each day during this time. In addition, balance inquiries and account transfers will be disabled for all ATM and Debit Cards. Please refer to the enclosed Electronic Funds Transfer Disclosure for the standard limits applicable to your Sunwest Bank ATM or Debit card. Any arrangements previously made with third parties to pay amounts automatically using your debit card will need to be updated to your new card number. If you have any questions about the conversion of your debit card, please call the customer service line at (800)330-9890 or (714) 730-4444. Telephone Transfers Please contact your branch office at one of the numbers listed on page seven if you intend to make telephone transfers. A Sunwest Bank Telephone Transfer Agreement is needed to perform these types of transactions. Individual Retirement Accounts The terms of Sunwest Bank's individual retirement accounts will be sent to you in an upcoming mailing. If you wish to change your IRA at any time prior to receiving this mailing and up to 30 days after it is sent, please contact the branch office at the number included in this letter.

Certificates of Deposit Please note that the terms of your Certificate will change to match the terms of the Freedom Time Account the first maturity after the July 23, 2010 conversion. This change will include a change in the penalty assessed for early withdrawal and a change to the balance computation method. Please refer to the enclosed Truth in Savings Disclosure for all terms and conditions. If you have any questions about Certificates please call the customer service line at (800)330-9890 and follow the prompts or you may call your branch office at the number included on page seven of this letter. Deposit Account Statements Unfortunately, at this time Sunwest Bank does not offer electronic statements. However, we expect to have this service available to customers in late 2010. For those of you receiving electronic statements, a notice was included with your last statement advising you that paper statements will be mailed beginning June 22, 2010. Going forward, statement information can also be retrieved online using Online Banking. For those customers receiving combined statements, your balances and transactions on Individual Retirement Accounts (IRA) and/or Certificates of Deposit will no longer appear on your combined statements. IRA disclosures are mailed annually during the first quarter of each year. Bank Routing Number All deposit and loan account numbers previously assigned by FSB will remain the same. However, the bank's routing number will change to 122228003 effective July 26, 2010. This routing number is a bank identifier which enables transactions to be properly routed by other banking institutions to Sunwest Bank. The number appears on checks and drafts, in electronic (ACH) transactions that you may have provided to third parties, and is used in wire transfer instructions. Checks: You can continue to use the old FSB routing number for a limited time. If you order checks from an outside provider, you will also need to provide this routing number rather than providing an old voided check for reprinting. When you place a check order with Sunwest's check provider, the provider will automatically print new orders with the updated routing number. Recurring Electronic Payments/Payroll/ACH: You can continue to use the old FSB routing number for a limited time. However, we strongly encourage you to notify third parties to change recurring payments you have established to the new Sunwest Bank routing number, Wire Instructions (domestic and foreign): We strongly encourage you to notify any third parties to change wire instructions you have provided to the new Sunwest Bank routing number in order to ensure timely routing of payments to your account. Safe Deposit Boxes If you currently have a safe deposit box at either of the former FSB locations no changes are required. Overdraft Lines of Credit (Constant Cash) You will notice a difference in your overdraft line of credit statement and payment notice once the system conversion takes place. On the Sunwest Bank system your overdraft line of credit history and payment notice will be combined with your checking account statement. The FSB system will generate a statement on the date of conversion. This statement and future statements will include the payment amount which will be deducted from your checking account on the due date. Home Equity Lines of Credit A statement for home equity lines of credit will be generated on the date of conversion. This statement will be for your records only. The actual payment due after the system conversion will be reflected on the statement you receive from Sunwest Bank. Automated Teller Machines Beginning Thursday, July 22, 2010, there will be a transition period during which the ATMs located at the former offices of FSB will be temporarily disabled, however not all machines will be affected at the same time.
