Audit and Risk Management Committees

TheAuditCommitteeconsistsoftwoExecutiveDirectors. Boththeheadoftheinternalauditdepartmentandthe external audit partners have unrestricted access to the AuditCommittee.WithasmallBoardofDirectors,Trencon ConstructionbelievesthatthecreationofaNomination Committee would be giving precedence to substance over form. However, the Board regularly reviews the appropriateness of its size and how best it can perform itsduties. The Risk Management Committee consists of all five ExecutiveDirectors.TheCommitteereportstotheBoard onaregularbasissettingoutitsevaluationsoftherisks facedbytheCompanyandtherecommendedstrategies for mitigating the impact thereof on the Company. Quality Control for Building Work Instructions

AllsitesaretocomplywithConstruction'sQualityControl ProceduresasprovidedintheBuildingWorksInspections Manual.Thisproceduredescribesthemethodtobeused for the inspection and monitoring of Trencon's building works. All sites are to allocate persons responsible for compliance with the implementation of the system in the designated areas. Key performance areas requiring special monitoring are to be identified and, if deemed necessary, additional systems incorporated to ensure compliancewithstandards.

The Board

TheBoardconsistsoffiveDirectors,andmeetsfortnightly on a formal basis. It is responsible for setting strategy, determining investment policy, reviewing quarterly performance in detail against previously approved budgetsandidentifyingandmonitoringriskareas.Trencon Construction complies with the mandatory requirement ofhavingaChairmanaswellasaChiefExecutiveOfficer, withseparatefunctionswithintheCompany.

Remuneration Committee

The protection of our environment is a prerequisite considerationinalldecisionsandactionsoftheCompany. This previously derelict stadium required a complete rebuild prior to the 2010 Soccer World Cup.
