HDA, INC. (Home Design Alternatives) · HDA, Inc. is a privately held corporation that was founded in 1983 by Robert Ketterer and George Bearer. The company began as a publisher of stock home plans. In 1997, HDA acquired the assets of National Plan Service, the industry's oldest distributor of publications to the home improvement channel. In 2000, HDA acquired a full-service distribution company, Foster & Hunt Marketing Services, Inc. · Lawrence Rigg, HDA's premier in-house designer, has over 40 years of expertise in residential design. William Poole Designs · William Poole's success has come from his ability to translate dreams into home and place. Though some may feel that his work is centered around Southern classics, his range of architectural design is broad and both captures and encompasses the influences and essences of New England Colonial, West Indies, Palladian, Victorian, Georgian, Italianate, French Country and even contemporary design. · Poole's work, which does not so much break new ground as reinvent the past, has gained him national acclaim. In 1993, Poole relocated his firm from Raleigh, NC, to the historic district of Wilmington, NC. TERMS AND CONDITIONS

This agreement is between Designs Direct Publishing, LLC and/or its assigns of 3208-C E. Colonial Drive, #314, Orlando, Florida 32803, and the above named client for advertising in Designer Dream HomesTM magazine for the agreed upon number of issues. All new advertising contracts require pre-payment for the first publication and upon approval, subsequent advertisements shall be billed issue by issue, due and payable on the first of the publication month. Frequency discounts are based on completing the entire agreement; if entire agreement is not fulfilled, client agrees the rate due shall be based on the highest earned rate. If publisher is to provide production on any advertisement, production charges shall be billed according to current rate sheet. All materials, artwork and/or photography provided to publisher by client shall be the property of the client with copyright and publisher ownership, and client agrees to hold publisher harmless in any copyright dispute. Publisher's responsibility and liability for errors and/or omissions shall be limited to either re-running the ad or crediting advertiser for the portion of the ad in error and shall only apply to display advertisements. Permission is hereby given to use any art in Designs Direct Publishing, LLC and/or Designer Dream HomesTM promotional materials. Publisher reserves the right to review all advertising and reject any ads not in keeping with the spirit and editorial content of the magazine and which, in the publisher's opinion, violate standards of taste and decency. If production is provided by Designs Direct Publishing, LLC, proof copies of new ads will be faxed to client prior to publication. Client agrees to return approved proof, with corrections, within 48 hours or publisher may run the ad "as-is." Client will notify Account Executive of ad changes via fax prior to the deadline for that issue. This agreement is non-cancelable by client unless otherwise specifically noted herein. All correspondence, corrections and notification must be received by publisher prior to deadline for the following issue. Cancellation and/or suspension of this agreement by publisher renders the balance of the agreement null and void and earned rates shall apply. If publisher is compelled to institute collection procedures or legal actions to enforce any of its rights under this agreement, Designs Direct Publishing, LLC shall be entitled to recover from advertiser all costs thereof, including but not limited to, reasonable attorney's fees, collection agency fees and 18% annual interest on amounts past due.
